These Terms and Conditions ("Terms") govern your use of the website at https://www.theclickup.com and the services provided by TheClickUp ("we", "our", or "us"). By using our website or engaging our services, you agree to these Terms.
Services
TheClickUp provides digital marketing, web development, and related services including but not limited to Shopify development, WordPress development, Meta Ads management, SEO, social media management, and brand identity design. The scope, deliverables, timeline, and price of each engagement are agreed upon in writing before work begins.
Payment Terms
All projects require a 50% deposit before work commences. The remaining balance is due upon project completion and before final deliverable handover. Monthly retainers are invoiced at the beginning of each month and due within 7 days. We reserve the right to pause work on overdue accounts.
Revisions and Scope
Each project agreement specifies the number of revision rounds included. Additional revisions or scope changes beyond the agreed scope will be quoted separately and must be approved in writing. We will not commence additional work without written authorization.
Intellectual Property
Upon receipt of full payment, you own all custom work created specifically for your project. We retain the right to showcase work in our portfolio and marketing materials unless you request otherwise in writing. Third-party assets (stock images, licensed themes, plugins) remain subject to their respective licenses.
Client Responsibilities
Timely project completion depends on your cooperation. You agree to provide required content, feedback, and approvals within agreed timeframes. Delays caused by late client feedback may result in timeline extensions. We are not responsible for delays caused by your failure to provide materials or approvals on time.
Advertising Accounts and Ad Spend
For Meta Ads management, you retain ownership of your ad account and are responsible for funding the ad spend. Our management fee is separate from ad spend. We are not liable for ad performance outcomes, as results depend on many factors including market conditions, product quality, and website performance beyond our control.
Limitation of Liability
To the maximum extent permitted by applicable law, TheClickUp's total liability to you for any claim arising from our services is limited to the fees paid for the specific service that gave rise to the claim in the 30 days preceding the claim. We are not liable for indirect, consequential, or incidental damages.
Confidentiality
We treat all client business information as confidential. We will not disclose confidential information to third parties without your consent, except where required by law.
Termination
Either party may terminate a project engagement with 14 days written notice. Upon termination, you will be invoiced for work completed to date. Deposits are non-refundable if work has commenced.
Governing Law
These Terms are governed by the laws of Pakistan. Any disputes arising shall be resolved through good-faith negotiation first, and if unresolved, through the appropriate courts of Pakistan.
Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the updated Terms.
